Terms of Service

1. Agreement to These Terms

These Terms of Service (“Terms”) form a binding agreement between you and Precision Automation Inc. (“Precision Automation”, “we”, “us”, or “our”) governing your access to and use of the website precisionautomation.tech and our products and services, including Precision Intelligence (our market‑analytics software, dashboard, and real‑time alerts) and the Precision Apex and Precision Specter expert advisors (collectively, the “Services”). By accessing, subscribing to, or using the Services, you agree to be bound by these Terms and by our Privacy Policy and Risk Disclosure. If you do not agree, do not use the Services.

2. Definitions

  • Account — the registered account you create to access the Services.
  • Subscription — a paid plan that grants access to specified features for a recurring period.
  • Content — analytics, data, alerts, text, graphics, software, and other materials made available through the Services.
  • User / “you” — the individual or entity using the Services.

3. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use the Services. By using the Services, you represent and warrant that you meet these requirements and that all information you provide is accurate and complete.

4. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately of any unauthorized use or security breach. We are not liable for any loss arising from your failure to safeguard your credentials. We may suspend or terminate accounts that we reasonably believe are being used in violation of these Terms.

5. License to Use the Services

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non‑exclusive, non‑transferable, revocable license to access and use the Services for your own personal or internal business purposes. This license does not transfer any ownership rights to you. All rights not expressly granted are reserved.

6. Subscriptions, Billing, and Renewals

  • Fees: access to certain features requires a paid subscription at the prices displayed at the time of purchase.
  • Payment: payments are processed by our third‑party payment processor. By subscribing, you authorize us and our processor to charge your selected payment method.
  • Auto‑renewal: subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You authorize recurring charges until you cancel.
  • Price changes: we may change pricing; changes apply to subsequent billing periods, and we will provide notice where required.
  • Taxes: you are responsible for any applicable taxes.

7. Cancellation and Refunds

You may cancel your subscription at any time through your account or by contacting us; cancellation takes effect at the end of the current billing period, and you will retain access until then. Except where required by applicable law, fees already paid are non‑refundable and partial periods are not refunded. Any specific refund terms stated at the point of sale will also apply.

8. Acceptable Use

You agree not to:

  • use the Services for any unlawful, fraudulent, or harmful purpose;
  • copy, resell, sublicense, distribute, or commercially exploit the Services or Content without our written permission;
  • reverse engineer, decompile, scrape, or attempt to extract source code, models, or proprietary logic;
  • share account access with unauthorized persons or circumvent usage limits or security measures;
  • interfere with, disrupt, or overload the Services or related infrastructure;
  • upload malicious code or attempt to gain unauthorized access to any system or data.

9. Intellectual Property

The Services, including all software, analytics engines, models, indicators (including our proprietary in‑house tools), designs, text, and trademarks, are owned by or licensed to Precision Automation and are protected by intellectual‑property laws. “Precision Automation”, “Precision Intelligence”, and related marks are our property. You may not use them without our prior written consent.

10. Third‑Party Services and Links

The Services may integrate with or link to third‑party platforms, brokers, and tools that we do not control. We are not responsible for third‑party services, their availability, or their terms. Your use of third‑party services is governed by their own agreements.

11. No Financial Advice; No Fiduciary Relationship

Precision Automation is a software and market‑analytics provider. We are not a broker, dealer, investment adviser, or financial institution, and we do not provide personalized financial, investment, legal, or tax advice. The Services, including any alerts, scores, zones, or analytics, are for informational and educational purposes only and are not a recommendation or solicitation to buy, sell, or hold any instrument. No fiduciary, advisory, or agency relationship is created by your use of the Services. All trading decisions are solely your own. Please read our full Risk Disclosure.

12. No Guarantees; Assumption of Risk

We do not guarantee any particular result, outcome, profit, or performance. Trading involves substantial risk of loss. You acknowledge that you use the Services at your own risk and are solely responsible for evaluating any information and for any trades you choose to make.

13. Disclaimer of Warranties

The Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, accuracy, non‑infringement, and uninterrupted or error‑free operation. We do not warrant that the Services, data, or alerts will be timely, accurate, complete, or free of interruptions, delays, or errors.

14. Limitation of Liability

To the maximum extent permitted by law, Precision Automation and its officers, directors, employees, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, or trading losses, arising out of or relating to the Services, even if advised of the possibility of such damages. To the extent liability cannot be excluded, our total aggregate liability for any claim will not exceed the amount you paid to us for the Services in the twelve (12) months preceding the event giving rise to the claim.

15. Indemnification

You agree to indemnify and hold harmless Precision Automation and its affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Services, your violation of these Terms, or your violation of any law or third‑party right.

16. Changes to the Services and Terms

We may modify, suspend, or discontinue any part of the Services at any time. We may also update these Terms from time to time; when we make material changes, we will update the “Last updated” date and, where appropriate, provide additional notice. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.

17. Suspension and Termination

We may suspend or terminate your access to the Services at any time if you breach these Terms, fail to pay applicable fees, or use the Services in a manner that may cause harm or legal exposure. Upon termination, your license to use the Services ends. Provisions that by their nature should survive termination will survive.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the jurisdiction in which Precision Automation Inc. is incorporated, without regard to its conflict‑of‑laws rules. To the extent permitted by applicable law, any disputes arising out of or relating to these Terms or the Services will be resolved on an individual basis, and you and Precision Automation waive any right to participate in a class or representative action. Nothing in this section limits any non‑waivable rights you may have under the laws applicable to you as a consumer.

19. General

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy and Risk Disclosure, constitute the entire agreement between you and Precision Automation regarding the Services.
